END-USER SOFTWARE LICENSE AGREEMENT
IMPORTANT - READ BEFORE COPYING, INSTALLING OR USING.
Do not use or load 3Delight and/or any associated materials (collectively, the "Software") until you have carefully read the following End-User Software License Agreement ("Agreement"). The term "Software" shall also include any third party software incorporated into 3Delight and any upgrades, modified versions or updates of the Software licensed to you by The 3Delight Team. By loading or using the Software, you agree to the terms of this Agreement. If you do not wish to so agree, do not download, install or use the Software.
By installing, using, or copying this Software, you are becoming a party to, indicating your consent to, and agreeing to be bound by the terms of this Agreement, without modification. If you do not understand and accept all of the following terms and conditions, including those terms and conditions regarding the collection of user information, you must not install, use, or copy this Software.
Granted Rights
1. License. Subject to the terms of this Agreement, The 3Delight Team hereby grants you a revocable, non-exclusive, non-transferable license to copy the Software onto a single computer for your personal use and to make protection backup copies of the Software, provided that any and all copies made must contain all of the original and unmodified proprietary notices, including, but not limited to, this License Agreement.
2. Restrictions. You acknowledge and agree that you shall not (a) modify or create any derivative works of the Software or documentation; (b) attempt to disable the Software by any means or in any manner; (c) attempt to decompile, disassemble, reverse engineer, or otherwise attempt to derive the source code for the Software (except to the extent applicable laws specifically prohibit such restriction); (d) redistribute, encumber, sell, rent, lease, sublicense, or otherwise transfer or disclose the Software to any third party; or (e) remove or alter any trademark, logo, copyright or other proprietary notice, legend, symbol or label in the Software.
3. Ownership. All right, title and interest in and to all copies of the Software, including, but not limited to, intellectual property rights, remains with The 3Delight Team or its third party suppliers. The Software is copyrighted and protected by international laws. The 3Delight Team may make changes to the Software, or to items referenced therein, at any time without notice, but is not obligated to support or update the Software. Except as otherwise expressly provided, The 3Delight Team grants no express or implied right under The 3Delight Team's or any of its third party suppliers' patents, copyrights, trademarks, or other intellectual property rights. You agree that you will take no action that might jeopardize, limit, or interfere in any way with The 3Delight Team's or its third party suppliers' ownership or other rights regarding the Software.
Limitations of Liability
In no event shall the developers of the Software or copyright holders be liable for any damages whatsoever, including - but not restricted to - lost revenue or profits or other direct, indirect, special, incidental or consequential damages, even if they have been advised of the possibility of such damages, except to the extent invariable law, if any, provides otherwise.
No Warranty
The Software is provided AS IS with NO WARRANTY OF ANY KIND, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT OF THIRD PARTY RIGHTS.
Termination
This Agreement shall
be effective unless and until terminated. The 3Delight Team may, without prejudice
to any other rights under this Agreement or applicable law, terminate the
license granted in this Agreement at any time without notice to you if you
fail to comply with any of the terms and conditions of this Agreement. Upon
any termination of this Agreement, all rights granted to you under this Agreement
shall immediately terminate, and you shall immediately destroy the Software
or return all copies of the Software.
